The transaction, due to close in the first half of 2027 subject to regulatory approvals, will see the portfolio held across Blackstone Credit and Insurance, Tactical Opportunities and Real Estate Debt Strategies funds, according to a Blackstone statement. HSBC maintains only a minor presence in Australia’s A$2.5 trillion mortgage market, which is dominated by the big four banks and where the British lender operates without a major retail branch network. Blackstone will appoint Pepper Money, a non-bank lender, to manage the acquired loans.

HSBC anticipates booking an immaterial pre-tax loss of less than $100 million by the first half of 2027 on the disposal, the bank said in a filing. It expects to incur about $300 million in restructuring costs tied to a phased 18-month wind-down of its Australian retail banking arm. The lender also projects recognising roughly $300 million in foreign currency translation losses from the sale, with no effect on its CET1 ratio.

The divestiture represents the latest step in HSBC CEO Georges Elhedery’s restructuring drive, which has emphasised cost reductions and the shedding of non-core operations since he assumed the role in September 2024, according to bank announcements. Under the overhaul HSBC has simplified its structure by nearly halving the operating committee and removing co-head positions to sharpen accountability, a Bloomberg assessment found. The bank will redirect resources toward corporate and institutional banking across Australia and New Zealand while exiting consumer lending.

Pepper Money CEO Mario Rehayem emphasised his company’s readiness in the Blackstone announcement. “Pepper Money’s appointment as the loan manager reflects the strength of our established platform and our experience supporting customers across large, complex portfolios,” he said. “For more than 26 years, we have both originated and serviced loans on behalf of third parties. With the scale, systems, and focus on customer care, we are well placed to provide a positive customer and partner experience through transition.”

Blackstone characterised the acquisition as evidence of its capacity to provide large-scale capital solutions, in its July 31 press release. Dan Leiter, head of international for Blackstone Credit and Insurance, said, “International expansion is a major priority for our private credit business. Blackstone’s global credit platform, deep origination capabilities, and long-standing relationships position us to deliver unique value to clients around the world. This marquee investment is a testament to the power of our franchise and our conviction in the growing opportunities in credit across Asia.” Mike Culhane, head of international business development for asset based finance at the firm, noted the commitment to Australia as a market for sustained credit investment.

Australia’s housing market has encountered reduced demand because of elevated borrowing costs and tax adjustments, Westpac Banking Corp reported in June. Mortgage applications declined 10 percent after the government’s May budget, according to the lender. National Australia Bank recorded a 15 percent fall in applications during the June quarter, its data showed.

HSBC has methodically reduced its global consumer banking footprint since the global financial crisis, the lender has stated across successive disclosures. The group agreed last week to sell its Singapore insurance business to Allianz SE and reached a May accord to transfer its Indonesian retail and wealth operations to Oversea-Chinese Banking Corp, according to HSBC releases. The Australian transaction continues the shift toward higher-return institutional activities in the region.
