AD Ports Group said in a statement published by the Emirates News Agency that it received the notification of the voluntary conditional cash offer from L’IMAD through ADQ. The cash consideration is set at AED 3.50 for each share. The Abu Dhabi-headquartered company described the total offer value as approximately AED 10.5 billion. AD Ports Group characterised itself in the announcement as a leading global port operator and integrated logistics provider.

The company statement indicated that the offer is conditional upon acceptance by shareholders representing at least 75 percent of the relevant shares. An acceptance deadline of November 21, 2024, applies to the proposal. AD Ports Group added that the transaction remains subject to further regulatory steps and standard conditions for such deals.

Investor relations materials from AD Ports Group show that ADQ holds 75.42 percent of the company. This ownership structure leaves the remaining shares available under the cash offer. L’IMAD functions as the UAE sovereign wealth fund of which ADQ is a unit, according to the group’s corporate disclosures.

AD Ports Group listed its shares on the Abu Dhabi Securities Exchange in February 2022. A Reuters report at the time placed the proceeds from that initial public offering at roughly $1.1 billion. The company website states that AD Ports Group operates an integrated ecosystem across more than 50 countries.

A case study on the EFQM website reported that AD Ports Group generated AED 17.29 billion in revenue during 2024. A MEED article from April 2026 said the group earmarked AED 2.45 billion, or $667 million, for port infrastructure that year. These figures illustrate the scale of operations that form the backdrop to the offer.

The Emirates News Agency noted that ADQ is an Abu Dhabi-based investment company wholly owned by the Abu Dhabi Government. AD Ports Group has directed shareholders to examine the detailed offer document. No additional comments from executives were included in the initial notification.
